if you were to put one hand under some really warm
(hot) water and the other hand into freezing water...
then pulled them out and placed them both into
a bowl of tepid water.... what would you feel?

    where did the heat go?

<font size="2" face="Verdana, Helvetica, sans-serif">Heat flows from "warm" objects to "cold" objects in a never ending attempt at balancing temperature. Your cold hand will take heat from the tepid water as well as from your own arm to warm back up (this will feel good). The extra heat from your warm hand will go to the water and also your other hand until they all balance (actually they never will balance because of numerous other factors).

    ok... i can buy that.

but it doesn't explain where the heat is.

where is it in accordance to your hand?
where is it in accordance to the water?

    heat ( P ) Pronunciation Key (ht)
    n. Physics

A - A form of energy associated with the motion of atoms or molecules and capable of being transmitted through solid and fluid media by conduction, through fluid media by convection, and through empty space by radiation.
B - The transfer of energy from one body to another as a result of a difference in temperature or a change in phase.

Heat isn't an item or anything like that, it is energy, or, to be more precise it it the transfer of energy from something with a higher energy level to something with less. Using the example of the bowl of hot water, heat would be the transfer of energy from the water, to your hand.
